PURCHASE TERMS AND CONDITIONS
By purchasing any product from this website, you agree to the following Terms and Conditions:

Payment
Payment is due upon placement of an order unless otherwise agreed to in writing by us. Any payment not made to us when due shall be subject to a carrying charge of one and one half percent (1 1/2%) per month on the unpaid balance until paid.

Shipment; Taxes, Duties and Fees
Unless otherwise provided for in writing by us, all shipments will be made Ex Works from our facility (exclusive of sales, use, excise and other taxes, duties and taxes on exports and imports, brokerage and customs arrangements and fees, insurance, documentation and forwarder fees, storage and handling, fees associated with brokerage and freight beyond U.S. port of exit and any other taxes or fees of a similar nature (collectively “Taxes and Fees”)), and title and risk of loss to the products purchased from Aeroscena shall pass to (and payment of all Taxes and Fees are the responsibility of) you. All shipments will be made in our standard shipping packages addressed to you at the address you have provided to us.

Customs Clearance
You shall perform the functions necessary to clear the products through all United States and non-United States customs and similar controls, and you shall arrange for the transportation of products to the delivery point.

Acceptance
You shall inspect all products purchased promptly upon receipt thereof at the shipping destination and may reject products only in accordance with the Return Policy. Products not rejected by written notification to us from you within 30 days of receipt shall be deemed to have been accepted

If a product purchased is not as described on the website, your sole remedy is to return it as described in our Return Policy. If a product purchased by you was incorrectly priced, we will, at our discretion, either contact you to provide instructions or cancel your order and notify you of such cancellation.

Casualty and Availability of Supplies
Delivery of all or any part of products purchased is contingent upon our ability to manufacture and obtain the products, other goods, supplies, raw materials and services through our regular and usual sources of supply. In the event that we do not meet anticipated deliveries, we shall not be liable therefor and may, in our discretion without prior notice to you, postpone the delivery date(s).

Limited Warranty, Warranty Disclaimers and Limitations of Remedies and Liabilities
Aeroscena recommends only those applications for its products as described on our website, in our company literature and on our product packaging and hereby disclaims any liability for uses of our products other than those specified. We warrant that our products will be free from defects in materials and workmanship for the shelf life of the products indicated by the lot number and the expiry date on the products. Any product determined to be defective at the time of delivery will be replaced in accordance with these Terms and Conditions and our Return Policy provided that you have acted in accordance with their respective terms and conditions. We do not warrant against failures or damages caused by improper handling, improper storage, misuse or improper use or application of our products, use of our products not in compliance with instructions, contamination, or exposure of our products to heat, cold, water, liquids, or forces that damage our products.

EXCEPT AS SET FORTH ABOVE, WE MAKE NO OTHER WARRANTIES CONCERNING OUR PRODUCTS WHATSOEVER. WE DISCLAIM AND EXCLUDE ALL OTHER EXPRESS WARRANTIES AND ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, NON-INFRINGEMENT, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE CONCERNING THE PRODUCTS. A suit based on any cause of action must be commenced within one year from the earlier of the date of purchase or delivery of the product in question.

Pricing Policy
The prices displayed on our website are quoted in U.S. Dollars and are valid and effective only in the U.S., and such prices do not include shipping and handling or sales taxes, if applicable, which will be added to your total invoice price. While we do our best to assure that the taxes quoted for a particular order are accurate for the applicable location to which the order is being shipped, should an erroneous quote be provided, we will notify you of such error before finalizing and shipping your order. You will be responsible for the payment of all applicable taxes, regardless of the amount quoted on this website at the time of your order.

Cancellation
We may cancel or terminate all or part of our agreement with you immediately upon the happening of any of the following: your material delinquency of any of your obligations hereunder or with respect to any other order or transaction with us; institution of any proceedings by or against you or any of your property under any law dealing with bankruptcy, insolvency, receivership or other relief of debtors; your assignment of property for the benefit of creditors; or any event, whether or not similar to the foregoing, which in our good faith belief materially impairs the prospect of payment or performance by you hereunder.
